Many of Derrek’s clients are business owners. Derrek has many years of experience in corporate-commercial matters, helping clients with contract review and drafting, incorporations, partnership and shareholder agreements, startups, and business structure and planning. Over the course of his work, he has developed a particular affinity for transaction work and board advising, including:

Mergers and Acquisitions – Derrek assists his clients in the purchase/sale of assets or shares of companies. Derrek has served as both purchaser’s and vendor’s counsel on business acquisition transactions ranging in size from $1,000,000 to $36,000,000, involving companies resident in nearly all Canadian provinces and in the United States.

Securities law and Corporate Finance – assisting companies raise capital through securities offerings and assisting with regulatory compliance. Derrek serves primarily as issuer’s counsel, assisting his clients raise capital through the use of private placements, offering memoranda and crowdfunding. Derrek has assisted his clients in capital raises ranging from $500,000 to $40,000,000.

Corporate governance – Derrek has advised both public and private corporate boards on current best practices surrounding internal governance matters, annual general meetings, special shareholder meetings, proxy matters and shareholder agreements.

Secured Lending: Derrek is equally familiar with serving as lender’s counsel and borrower’s counsel on all manner of secured lending matters, ranging from $500,000 to $2,000,000,000.

Commercial real estate – Derrek assists his clients with their commercial property needs,

including purchases and sales of commercial property, leases, land assemblies and developments.

Cryptocurrency and blockchain – Derrek is a leading lawyer in the development and use of cryptographic tokens for raising capital, issuing securities and creating digital assets, including non-fungible tokens or NFTs.

Professional and Community Involvement

Derrek has a lifelong connection to hockey, first as a player, then as a coach from Initiation through to AA Senior, and manager of Midget AA and he is currently the general manager of the Warman U18 AAA Wildcats.

He has served as a director on the boards of several public and private companies. He has been a guest lecturer at the University of Saskatchewan College of Commerce in the areas of business law and contracts.

He has written, presented and spoken on contract law, cryptocurrency and board governance, served as editor of the CPLED chapter on business law, and volunteered as a mentor resource for CLASSIC.

Derrek was appointed to two terms (2011-2018) as a director of the Saskatchewan Securities Commission (now the FCAA). He has also served as a director of the Saskatoon Downtown Business Improvement District.

Outside of work, Derrek is most often found in a rink watching hockey, or, in summer months, at the lake, preferably with a golf club or fishing rod in hand.

Jason’s practice is devoted to assisting Day School and Boarding Home Survivors as well as First Nation Child Protection, Organizations, and Governance. Jason commonly travels hundreds and thousands of kilometers to personally meet with and assist survivors. Jason prides himself on being attentive, and available, and attempts to accommodate his clients.
